These Terms of Service ("Terms") govern your access to and use of the Formula platform and website at useformula.ai (the "Service"), operated by Formula ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Description of Service
Formula provides marketing mix modeling and analytics tools designed for marketers. The Service analyzes marketing spend, advertising channel performance, and sales data to help businesses optimize their marketing budgets and understand which channels drive real results.
3. Account Registration
- You must provide accurate, current, and complete information during registration.
- You are responsible for maintaining the confidentiality of your account credentials.
- You are responsible for all activity that occurs under your account.
- You must notify us immediately of any unauthorized use of your account.
4. Your Data
Ownership
You retain all ownership rights to the data you upload to or generate through the Service ("Your Data"). We do not claim ownership over your marketing spend data, sales figures, or any other business information you provide.
License
You grant us a limited, non-exclusive license to use, process, and analyze Your Data solely to provide and improve the Service. This includes running marketing mix models and generating insights specific to your account.
Aggregated Data
We may create anonymized, aggregated data derived from Your Data that cannot be used to identify you or your business. We may use such aggregated data to improve the Service, conduct research, and develop new features.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
- Attempt to gain unauthorized access to any part of the Service or its related systems.
- Interfere with or disrupt the integrity or performance of the Service.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Use the Service to transmit malware, viruses, or other harmful code.
- Resell, sublicense, or distribute the Service to third parties without our written consent.
- Upload data you do not have the right to use or that violates any third-party rights.
6. Subscription and Payment
- Access to the Service requires a paid subscription, unless you are participating in our beta program under separate terms.
- Subscription fees are billed in advance on a monthly or annual basis as selected during signup.
- All fees are non-refundable except as expressly stated in these Terms or required by law.
- We reserve the right to modify pricing with 30 days' notice. Continued use after a price change constitutes acceptance of the new pricing.
7. Beta Program
If you are participating in our beta program, the Service is provided "as is" and may contain bugs or incomplete features. Beta access is provided at no cost and may be terminated at any time. We may request feedback and usage data to help improve the Service.
8. Intellectual Property
The Service, including its software, design, text, graphics, logos, and all related intellectual property, is owned by Formula and protected by applicable intellectual property laws. These Terms do not grant you any right, title, or interest in the Service beyond the limited right to use it as described here.
9. Disclaimers
- The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied.
- We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
- Marketing mix model outputs are analytical estimates and should not be treated as guarantees of future performance. You are responsible for your own marketing decisions.
10. Limitation of Liability
To the maximum extent permitted by law, Formula shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, or goodwill. Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless Formula and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorney's fees) arising out of your use of the Service, violation of these Terms, or infringement of any third-party rights.
12. Termination
- You may cancel your subscription at any time through your account settings or by contacting us.
- We may suspend or terminate your access if you violate these Terms or if required by law.
- Upon termination, your right to use the Service ceases immediately. You may request an export of Your Data within 30 days of termination.
13. Governing Law
These Terms are governed by the laws of the State of Michigan, without regard to its conflict of laws principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Michigan.
14. Changes to These Terms
We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.
